1. Agreement to Terms

These Terms form a binding agreement between you and Veloxa Technology Ltd. We may update these Terms from time to time; material changes will be posted on this page with an updated date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. The Service

VeloxaRecruit is an AI-assisted recruitment platform that helps employers screen CVs, conduct AI voice and video interviews, and analyse candidates. The Service is provided to support your hiring process — it does not make hiring decisions for you.

We may add, change, or discontinue features at any time. We will use reasonable efforts to notify you of material changes that affect paid features.

3. Accounts & Eligibility

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate account information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must notify us promptly of any unauthorised use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or discriminatory purpose;
• Upload data you do not have the right to use, or that infringes the rights of others;
• Reverse engineer, scrape, or attempt to extract source code or models from the Service;
• Interfere with, overload, or attempt to gain unauthorised access to the Service or its infrastructure;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted;
• Use the Service to build a competing product.

5. Customer Data & Candidate Responsibilities

You retain ownership of the data you upload, including job descriptions, CVs, and candidate information ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide the Service to you.

You are responsible for the lawful collection and use of candidate data. As the party that decides why and how candidate data is processed, you must have a valid legal basis (such as candidate consent) and must comply with all employment, privacy, and data protection laws that apply to you, including the Data Protection Act, 2012 (Act 843) of Ghana where applicable. We process Customer Data on your behalf and in line with our Privacy Policy.

You are responsible for informing candidates that AI tools are used in your hiring process where notice is required.

6. AI Outputs & Disclaimer

The Service uses artificial intelligence to generate scores, transcripts, and analysis. These outputs are decision-support tools only. They are probabilistic, may contain errors, and should not be the sole basis for any hiring, rejection, or other employment decision.

• You remain responsible for all hiring decisions and must apply human judgement.
• We do not guarantee any particular accuracy, ranking, or hiring outcome.
• You are responsible for ensuring your use of AI outputs is fair and lawful.

7. Subscriptions, Billing & Payments

• Paid plans are billed in advance on a recurring basis (monthly or annually) at the prices shown at sign-up.
• Payments are processed by our third-party provider, Paystack. We do not store full card details.
• Prices may be shown in Ghana Cedis (GHS) or US Dollars (USD). You are responsible for any applicable taxes.
• Subscriptions renew automatically until cancelled. You may cancel at any time from your account settings.
• On cancellation you retain access until the end of your current billing period; fees already paid are non-refundable except where required by law.
• We may change pricing with reasonable prior notice; changes apply from your next billing period.
• The free plan is usage-capped and provided "as is" with no commitment.

8. Intellectual Property

The Service, including its software, models, design, and content (excluding Customer Data), is owned by Veloxa Technology Ltd and protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.

9. Third-Party Services

The Service relies on third-party providers (for example, payment processing, cloud hosting, and AI providers). Your use of those services through VeloxaRecruit may also be subject to their terms. We are not responsible for the acts or omissions of third-party providers.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, except where a separate written service-level agreement applies (e.g. Enterprise plans).

11. Limitation of Liability

To the maximum extent permitted by law, Veloxa Technology Ltd will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Veloxa Technology Ltd from any claims, damages, or expenses arising from your Customer Data, your use of the Service, or your breach of these Terms or applicable law.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully. On termination, your right to use the Service ends. You may export your data for thirty (30) days after termination, after which it may be deleted in line with our retention policies.

14. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ghana.

15. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, take reasonable steps to notify you. Continued use of the Service means you accept the revised Terms.
